Terms of Service

1. Acceptance of Terms

By accessing or using Propbite’s website, construction project tracking platform, or related services (collectively, the “Service”), you agree to these Terms of Service (“Terms”). If you do not agree, you may not use the Service. If you use the Service for an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of the Service and AI Disclaimers

Propbite provides a digital construction project and milestone tracking platform. The Service includes AI-assisted photo tagging, data organization, and semantic search over uploaded site photographs.

3. Account Security

You must provide accurate, current, and complete account information and keep your login credentials secure. You are responsible for activity under your account and must promptly notify Propbite if you suspect unauthorized access.

4. Subscriptions and Payments

Paid plans are billed in advance on a recurring monthly or annual basis as described at checkout.

5. Acceptable Use

You may not misuse the Service. Prohibited activities include attempting to access systems through unauthorized methods; disrupting or testing infrastructure without permission; uploading malicious code; scraping non-public platform data; reverse-engineering proprietary systems except where applicable law expressly permits it; or using the Service in violation of law or another person’s rights.

6. Your Content and Processing License

You retain ownership of photos, project records, files, and other content you upload (“Your Content”). You grant Propbite a non-exclusive, worldwide, royalty-free, limited license to host, transmit, cache, process, replicate, and display Your Content only as reasonably necessary to provide, secure, and maintain the Service, including generating AI-assisted tags and localized search indexes.

You represent that you have the rights and permissions needed to upload Your Content and allow Propbite to process it as described in these Terms and our Privacy Policy.

7. SMS Messaging Program

7.1 Program and sender

Propbite is the sender of the SMS messaging program. Text messages are sent only to people who have expressly opted in to the applicable program. Depending on the separate consent selected, messages may include:

Marketing and non-marketing consent are collected separately where both programs are offered. Providing a telephone number does not by itself constitute SMS consent. SMS consent is optional and is not a condition of purchase or use of the Service.

7.2 Message frequency and charges

Message frequency varies based on the program selected and your interaction with Propbite. Message and data rates may apply to messages sent to you and messages you send to us. Contact your wireless provider for information about your text or data plan.

7.3 Opting out

You may cancel SMS messages at any time by replying STOP to the number that sent the message. Propbite will send a confirmation message, after which no further messages will be sent under that program unless you opt in again. Other recognized opt-out keywords may also be honored where supported.

To rejoin, complete the applicable opt-in process again. An opt-out from marketing messages does not prevent Propbite from sending a message that is legally required or otherwise permitted without marketing consent, but Propbite will honor the scope of every valid opt-out request.

7.5 Carrier disclaimer

Wireless carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your wireless provider and is outside Propbite’s complete control.

7.6 Eligibility and privacy

You must be at least 18 years old to participate in Propbite’s SMS program. Our collection and use of mobile information and SMS consent records are governed by the Propbite Privacy Policy.

8. Privacy

Our collection and use of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Suspension and Termination

You may stop using the Service and cancel a paid subscription through available account settings. We may suspend or terminate access if you materially breach these Terms, fail to pay amounts due, create a security risk, or use the Service unlawfully. Account and project data will be handled after termination as described in our Privacy Policy.

10. Disclaimers and Limitation of Liability

The Service is provided on an “as is” and “as available” basis to the extent permitted by law. Propbite disclaims implied warranties to the maximum extent permitted by applicable law.

To the maximum extent permitted by law, Propbite and its operators will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, project delays, data corruption, or loss arising from reliance on automated AI features or Service downtime. Nothing in these Terms excludes liability that cannot lawfully be excluded.

11. Governing Law and Jurisdiction

These Terms and disputes arising from them are governed by the laws of England and Wales. You and Propbite agree that the courts of England and Wales have exclusive jurisdiction, except where mandatory consumer law provides otherwise.

12. Changes to These Terms

We may update these Terms to reflect changes to the Service, our messaging program, or legal requirements. We will post the updated Terms with a new “Last updated” date. Where required, we will provide additional notice before a material change takes effect.
