1. Acceptance of Terms

By accessing or using Propbite (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service. If you are using the Service on behalf of an organization or business entity, you are agreeing to these Terms on that organization’s behalf, and you confirm you have the legal authority to bind them.

2. Description of Service & AI Disclaimers

Propbite provides a digital construction project and milestone tracking platform. The Service includes automated AI-assisted photo tagging, data structuring, and semantic search over uploaded site photographs.

• AI Feature Evolution: We reserve the right to add, modify, pause, or remove features at any time.
• Accuracy of AI: You acknowledge that automated AI systems are not infallible. Propbite does not guarantee 100% accuracy on generated photo tags, automated descriptions, or semantic search classifications. Users should independently verify critical project compliance metrics.

3. Account Security

You must provide accurate, current, and complete information when creating an account and keep your login credentials secure. You are entirely responsible for all activity that occurs under your account. You must notify us immediately at our official support email if you suspect any unauthorized use or breach of your account security.

4. Subscriptions, Payments & Financial Operations

Paid subscription plans are billed in advance on a recurring monthly or annual basis as described at checkout.

• Non-Refundability: Fees are non-refundable except where explicitly required by law.
• Price Changes: We may modify subscription pricing by providing reasonable advance notice. Your continued use of the Service after a price modification takes effect constitutes acceptance of the new billing terms.
• Processing Footprint: Financial transactions are managed via secure international banking and payment gateway infrastructure. You agree to provide valid billing information required by our processors to prevent fraud and process your subscription.

5. Acceptable Use Policy

You agree not to misuse or abuse the Service. Prohibited activities include, but are not limited to:

• Attempting to access the platform backend using methods other than our authorized interfaces.
• Interfering with, disrupting, or testing the vulnerability of our application servers or network infrastructure.
• Uploading project media or files containing malicious code, viruses, or spyware.
• Scraping platform data, reverse-engineering our proprietary semantic search algorithms, or abusing AI processing pipelines.

6. Your Content & AI Processing License

You retain full ownership of all photos, project metrics, structural logs, blueprints, and data you upload to Propbite (“Your Content”).

To enable us to run the application, you grant Propbite a non-exclusive, worldwide, royalty-free, limited license to host, transmit, cache, process, replicate, and display Your Content. This license is granted solely for the purposes of providing and maintaining the Service, including training localized search indexes and running your uploaded media through our AI processing APIs to generate automated tags.

7. Privacy

Our collection and use of your data is governed strictly by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we handle data compliance across the UK, Singapore, Thailand and Vietnam.

8. Suspension & Termination

You may stop using the Service and cancel your billing subscription through your dashboard settings at any time. We reserve the right to suspend or terminate your account access immediately if you breach these Terms or fail to clear subscription invoices. Upon account termination, your live access to the dashboard ceases, and your data will be queued for permanent erasure in accordance with our Privacy Policy.

9. Disclaimers & Limitation of Liability

The Service is provided entirely on an “as is” and “as available” basis, without warranties of any kind, whether express or implied.

To the maximum extent permitted by applicable law, Propbite and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, but is not limited to, loss of construction profits, data corruption, project delays, or financial loss resulting from your reliance on automated AI features or platform downtime.

10. Governing Law & Jurisdiction

These Terms, your use of the Service, and any legal disputes or claims arising out of or in connection with them shall be governed by, and construed in accordance with, the laws of England and Wales.

You and Propbite unconditionally agree that the courts of England and Wales shall have exclusive jurisdiction to settle any legal dispute or claim arising from this contract.

11. Changes to These Terms

We may update these Terms from time to time to reflect regulatory shifts or system changes. If we make material modifications, we will provide you with reasonable notice (via in-app notification or direct email) before the changes become legally binding. Continued use of the platform after the notice window constitutes your formal acceptance of the updated Terms.
